  • UCC Club Members: The learners and coaches registered on UCanCoach.
  • UCC Guest: non-registered user who wants to book a coach on the Website
  • UCC: the company UCanCoach, société par actions simplifiée with a capital of 1000€, 46 rue de la Folie Méricourt 75011 Paris (France), and registered with the Registre du Commerce et des Sociétés de Paris under the number 829 240 027

  1. Preamble

The purpose of the Website, edited and managed by UCC, is the provision of the Service.

The distinctive sign UCanCoach is a French brand registered by UCC with the National Institute of Intellectual Property (“INPI”) under the number 16 4 319 480.

Processing of personal data collected on the site www.ucancoach.com has been declared to the CNIL under the number 2063929 v 0. In accordance with the provisions of articles 38 and following of the law n ° 78-17 of January 6th, 1978, relating to data processing, files and freedoms, modified by the law n ° 2004-801 of August 6th, 2004, any UCC Club Member has a right to access, modify and oppose his/her personal data, by sending an email to contact@ucancoach.com.

  1. Purpose

Registration on the Website entails automatic membership to UCC and acceptance of the TOS.

The purpose of the TOS is to define the terms and conditions of use by UCC Club Members in order to enable them to organize and book Coaching Sessions.

The UCC Club Member must be over 18 years of age and have full legal capacity.

The UCC Club Member undertakes to provide accurate information about his/her identity, address and any other information necessary to access the Website and, as needed modify his/her data. Providing incorrect, incomplete and misleading details at registration may render the UCC Club Member liable both with respect to UCC and other UCC Club Members.

UCC Guests browsing the Website or the UCC Club Member browsing and/or logging onto the Website does so at their own expense, using their own equipment and telecommunications.

The UCC Club Member uses the Website at his/her own risk and decides on his/her own to organize or book Coaching Sessions. UCC only intervenes to facilitate the relationship of UCC Club Members.

UCC is mandated by UCC Club Members to connect Learners and Coaches and enable transactions on the Website in the manner hereinafter defined.

In the absence of use of the account by a UCC Club Member for more than twelve (12) consecutive months, UCC may put the account on standby. Concerned UCC Club Member will be informed by email. Membership can be reactivated after request to UCC, if the UCC Club Member meets the applicable registration conditions.

The UCC Club Member is prohibited from using, for either personal purposes unrelated to the organization or booking of Coaching Sessions on the Website and third parties, personal information and data that he/she could have access to via the Website, through the use of the Service.

UCC reserves the right to immediately suspend temporarily or indefinitely the account of a UCC Club Member not complying with the TOS.

  1. Registration on the Website

The registration on the Website is a prerequisite for the use of the Service. Membership is free.

The UCC Club Member undertakes to complete the appropriate fields on the registration form made available on the Website. Information must be valid and kept up to date.

The UCC Club Member can use his/her social media account (facebook, twitter and instagram) to log onto the website. In using such functionality, the UCC Club Member understands that UCC will have access to, will publish on the Website, and will keep certain information from his/her social media account. More information about the use of data from the UCC Club Member‘s social media account are described in UCC Privacy Policy as well as Facebook, Twitter and Instagram privacy policies.

To register on the Website, UCC Club Members must have read and accepted the TOS, Quality Charter and the Privacy Policy.

By registering with the Website, the UCC Club Member has a unique and strictly personal username and password, chosen by himself/herself that must be kept confidential. Only the UCC Club Member is allowed to use his/her username and password for the purpose of identifying on the Website. The UCC Club Member undertakes to not permit any other person to access to the Website, under his/her personal username, to any other person. In the event that the UCC Club Member becomes aware that another person accessed the Website with his/her username and password, the UCC Club Member must immediately inform UCC by e-mail at support@ucancoach.com so that UCC can take all necessary measures.

The UCC Club Member undertakes to not choose a username that infringes on the intellectual property rights of UCC, another UCC Club Member or any third party.

The UCC Club Member undertakes to not create or use other accounts than the one initially created, whether it be under his/her own identity or that of third parties. This rule may be derogated, subject to the UCC Club Member making a specific request to UCC and obtaining specific and written authorization by UCC. The act of creating or using multiple accounts under the UCC Club Member’s own identity or that of others without having first requested and obtained authorization from UCC may result in the immediate temporary or indefinite suspension of the accounts of the UCC Club Member and all associated Coaching Sessions, without prejudice to any legal action available to UCC in relation to said breach.

In case of dispute between the UCC Club Member and another UCC Club Member or between the UCC Club Member and UCC, the UCC Club Member acknowledges and agrees that UCC can produce all or part of the records relating to his/her use of the Website.

In case the UCC Club Member forgets his/her username and/or password, he/she can send a request to UCC by clicking on the link “Forgot password” available on the login page in order to obtain a new username or password by email.

  1. Coaching Sessions: organization and booking process

After registration has been validated by UCC, the Coach can upload his/her Coaching Sessions on the Website. It will be accessible to all UCC Club Members and UCC Guests on the Website.

The Coach organizing the Coaching Session agrees to complete all fields of the form made available on the website and to provide information that is as accurate as possible in order to help the Learner make his decision.

UCC reserves the right to not publish or cease to publish any proposed Coaching Session should it not meet the requirements of the TOS, Quality Charter, Privacy Policy, or not mention the information required on the related form.

The Coach shall not engage in any form of illegal discrimination in particular based on the UCC Club Member’s surname, name, gender, age, nationality, race, religion, disability, sexual orientation, political opinions, or profession.

UCC may request justification from a Coach who has received low ratings or negative comments on the Website. In this case, UCC reserves the right to suspend temporarily or indefinitely the account of the concerned Coach.

The Coach will be notified by email of any new booking for a Coaching Session he/she is offering. The Learner pays by credit card through Mangopay.The Learner is charged on the credit card account he/she used to make the booking. The Learner is charged instantly after booking the Coaching Session. The Learner receives an email with a proof of completion of the transaction and the details of the booking. Learners can communicate at any moment with Coaches using the UCC messaging system to ask pre-sales question or obtain relevant information, including the contents, exact time and location of the Coaching Session.

The Coach proposing a Coaching Session agrees to meet the Learner within 15 days of receiving the email confirming the booking of the Coaching Session.

UCC invites Learners who participated in a Coaching Session to assess it by giving a rating ranging from 1 star (low rating) to 5 stars (good rating). Learners may also write a detailed review. The assessment should be objective and not contain illicit sentiments contrary to public order or that French courts may deem defamatory or offensive to the Coach. UCC reserves the right to moderate comments and responses written by UCC Club Members and to suspend temporarily or indefinitely the account of any UCC Club Member who does not respect the TOS.

  1. UCC obligations

UCC agrees to make offers of Coaching Sessions available to all Learners on the Website. For this purpose, UCC receives a mandate from the Coaches to place their offers of Coaching Sessions at the disposal of Learners through the Website.

Being just the link between Coaches and Learners, UCC cannot, under any circumstances, be considered the organizer of any Coaching Session, particularly with regard to the price, time, place, progress, and content of the Coaching Sessions provided to the Learners.

UCC cannot guarantee that the Coaching Session organized will meet Learner’s expectations. Similarly, UCC cannot guarantee to Coaches that a Learner won’t cancel a booking or that a Learner won’t make a claim against the Coach after a Coaching Session.

UCC undertakes to treat all claims related to a Coaching Session published on the Website in accordance with the procedure described in these TOS.

  1. Coach obligations

The Learner communicates with the Coach using the UCC messaging system. The Coach responds to pre-sales and clarification questions in a timely manner and polite tone. The Coach asks questions to the Learner to see if they are a good fit for one another. The Coach ensures that the Learner’s objectives match with his/her experience, skills, competences, and availabilities.

The Coach agrees to attend the Coaching Session and be punctual at the date, time and place agreed by both the Learner and the Coach. In case of lateness, the Coach must inform the Learner without delay, indicating the estimated time of arrival.

If the Coaching Session is done through video chat, the Coach agrees to connect to the video chat application at the date and time agreed by both the Learner and the Coach. In case of lateness, the Coach must inform the Learner without delay.

The Coach agrees to comply with the TOS, the Quality Charter and the Privacy Policy.

The Coach agrees to provide all of the details required by UCC forms on the Website to allow Learners to be fully informed on the Coaching Session’s details before booking.

The Coach agrees that he/she shall organize the Coaching Session in accordance with what was published on the Website.

During the course of the Coaching Session, the Coach should behave well and adopt a warm, friendly and respectful attitude towards the Learner. The Coach shall transfer knowledge, competences, skills, and experience to the Learner and provide him/her with all appropriate advice in accordance with what was published on his/her offer on the Website.

The Coach is solely responsible for the proper execution of the obligation to inform Learners about the main details of the Coaching Session. UCC is not liable for any claim relating to the content or execution of the Coaching Session.

The Coach is solely responsible, at his/her own expense, for the purchase of any content and coaching materials used during the Coaching Session. The Coach is solely responsible for the availability of all materials used for the Coaching Sessions. Therefore, the Coach cannot claim any compensation or remuneration from UCC.

The Coach is free to set the price of the Coaching Session per Learner. The booking price of the Coaching Session, as requested by the Coach, will be paid to the Coach minus a fee per session of 12% per Coaching Session corresponding to a 5% payment processing fee and 7% service fee.

The Coach is given a reservation code by the Learner during the Coaching Session. The Coach uses the payment confirmation form available on the Website to send the code to UCC. The Coach fill the form with his first name, last name, UCanCoach username, the order number available on the invoice, the Coaching Session date, and the reservation code given by the Learner during the Coaching Session. The Coach will be credited the price of the Coaching Session minus the payment processing fee and the service fee 3 to 8 days after validation of the code sent to UCC using the payment confirmation form.

The Coach is not an employee of UCC. There is no hierarchical relationship between UCC and the Coach. The Coach acts as an individual amateur or professional. Payment of the Coaching Session is the Learner’s responsibility. UCC is simply an intermediary who proceeds with the booking, validates payment and processes financial transactions between Learners and Coaches.

During the course of the Coaching Session, the Coach shall not make any proposition contrary to law or morality, provide any products or services other than those related to the Coaching Session, or use the Coaching Session, directly or indirectly, for the purpose of promoting any unrelated products or services to be rendered by him/her or by a third party.

The Coach shall not harm the Learner’s integrity or be responsible for damages done at the place of the Coaching Session. In case of personal or material injury suffered by the Learner, the Coach must compensate for the damages, under penalty of prosecution. UCC cannot be held responsible. UCC is an intermediary that proceeds with the booking of Coaching Sessions, validates payment and processes financial transactions between Learners and Coaches.

Coaches that do not comply with the Quality CharterPrivacy Policy, or these TOS could have their account suspended temporarily or indefintely by UCC, regardless of any claim made by UCC in the event that a Learner or UCC itself has suffered direct or indirect harm on account of the Coach.

  1. Obligations of Coaches acting in a professional capacity

The Coach who acts in a professional capacity (hereinafter referred to as the “Professional Coach“), whatever the status, i.e. a commercial company or a freelance, must, at the time of registration on the Website, inform UCC of this fact by clearly indicating in his/her description that he/she is a Professional Coach and choosing the attribute value “Professional Coach” when he/she creates a Coaching Session. UCC reserves the right to decline the registration of Professional Coaches.

All requirements applicable to Coaches, as defined in the TOS, the Privacy Policy and the Quality Charter, are applicable to Professional Coaches. More generally, all references to the term Coach(es) in the TOS, the Privacy Policy, and the Quality Charter shall be understood to also pertain to Professional Coach(es).

The Professional Coach acknowledges being aware of and up to date with all legal obligations applicable to his/her professional status, such as tax and social declarations, and registrations.

The Professional Coach declares to be in compliance with all legal and regulatory requirements currently applicable to his/her status, especially in terms of accounting, insurance, financial guarantee and health and safety requirements.

The Professional Coach declares to be up to date with the payment of any amount due to local or national government departments and agencies, including all taxes and social security contributions that apply to them. The Professional Coach shall comply with all legal and regulatory requirements relating to the exercise of their business.

  1. Learner obligations

The Learner communicates with the Coach using the UCC messaging system to ask pre-sales question or obtain relevant information, including the contents, exact time and location of the Coaching Session. The Learner asks questions to the Coach to see if they are a good fit for one another. The Learner ensures that his/her objectives match with the Coach’s experience, skills, competences, and availabilities.

The Learner agrees to attend the Coaching Session and be punctual at the date, time and place agreed by both the Learner and the Coach. In case of lateness, the Learner must inform the Coach without delay, indicating the estimated time of arrival.

If the Coaching Session is done through video chat, the Learner agrees to connect to the video chat application at the date and time agreed by both the Learner and the Coach. In case of lateness, the Learner must inform the Coach without delay.

During the course of the Coaching Session, the Learner should behave well and adopt a warm, friendly and respectful attitude towards the Coach.

The Learner shall not harm the Coach’s integrity or be responsible for damages done at the place of the Coaching Session. In case of personal or material injury suffered by the Coach, the Learner must compensate for the damages, under penalty of prosecution. UCC cannot be held responsible. UCC is an intermediary that proceeds with the booking of Coaching Sessions, validates payment and processes financial transactions between Learners and Coaches.

The Learner receives a reservation code by email within 24h after booking his/her Coaching Session. The reservation code is given to the Coach during the Coaching Session. The Learner communicates the reservation code by printing, showing or sending the email with the reservation code to the Coach.

Learners who participated in a Coaching Session assess it by giving a rating ranging from 1 star (low rating) to 5 stars (good rating). Learners also write a detailed review. The assessment should be objective and not contain illicit sentiments contrary to public order or that French courts may deem defamatory or offensive to the Coach. UCC reserves the right to moderate comments and responses written by UCC Club Members and to suspend temporarily or indefinitely the account of any UCC Club Member who does not respect the TOS.

Learners that do not comply with the Quality Charter, the Privacy Policy or these TOS could have their account suspended temporarily or indefinitely by UCC, regardless of any claim made by UCC in the event that a Coach or UCC itself has suffered direct or indirect harm on account of the Learner.

  1. Coaching Session’s reservation and payment

UCC is a platform facilitating the booking of Coaching Sessions between Learners and Coaches. Booking and payment are made directly on the Website. Learners book the selected Coaching Session by credit card, through Mangopay, and are charged instantly. The booking price includes the price of the Coaching Session, 5% of payment processing fee and 7% UCC service fee (technical, marketing, support, team). These costs are clearly indicated on the Website. Booking a Coaching Session constitutes agreement with the booking price. UCC offers a secure and reliable payment system used by many Ecommerce sites.

Learners receive a reservation code by email within 24h after booking their Coaching Session. The reservation code is given to Coaches during the Coaching Session. Learners communicate the reservation code by printing, showing or sending the email with the reservation code to Coaches. Coaches will be credited the price of the Coaching Session minus the payment processing fee and the service fee 3 to 8 days after having sent the code using the payment confirmation form.

  1. Learner booking cancellation

The Learner must have made reasonable efforts to meet the Coach’s requirement prior to making a claim to cancel the Coaching Session, including messaging the Coach on UCC to notify him/her of the issue. The Learner may cancel a Coaching Session if he / she does not feel comfortable being coached by a Coach in particular. UCC will verify the extent to which efforts have been made by the Learner on his/her UCC account.

The act of cancelling a booking must be supported by a valid claim. UCC may suspend the Learner’s account until he/she provides a fair justification. All documents supporting the claim have to be sent by email at support@ucancoach.com

The claim will be reviewed by UCC before making a final decision. UCC reserves the right to refuse the cancellation of a Coaching Session.

Repeated cancellations may result in the immediate temporary or indefinite suspension of the account of the UCC Club Member without prejudice to any legal action that UCC may take to obtain reparation for any injury suffered as a result of the cancelled booking

Booking cancellation is possible if both the Learner and the Coach agree. Both, the Learner and the Coach must immediately inform UCC by e-mail at support@ucancoach.com so that UCC can take all necessary measures. In the case of a Learner cancelling a Coaching Session, the price of the Coaching Session minus the payment processing fee and the service fee will be refunded on the Learner’s credit card, in order to cover the expenses incurred by UCC in relation to the booking of the Coaching Session.

In case of dispute between UCC Club Members or between UCC Club Members and UCC, the UCC Club Members acknowledge and agree that UCC can produce all or part of the records relating to the use of the Website by the concerned UCC Club Members subject to applicable legal provisions.

UCC is simply an intermediary that proceeds with the booking of Coaching Sessions, validates payment and processes financial transactions between Learners and Coaches. UCC cannot be held responsible in case of dispute between the Coach and the Learner. Under no circumstances, will UCC be liable for any delay or cancellation. In this regard, any claim made by a Coach or a Learner against UCC is unfounded.

  1. Coach booking cancellation

The Coach must have made reasonable efforts to meet the Learner’s requirement prior to making a claim to cancel the Coaching Session, including messaging the Learner on UCC to notify him/her of the issue. The Coach may cancel a Coaching Session if he / she does not feel comfortable coaching a Learner in particular. UCC will verify the extent to which efforts have been made by the Coach on his/her UCC account.

The act of cancelling a booking must be supported by a valid claim. UCC may suspend the Coach’s account until he/she provides a fair justification. All documents supporting the claim have to be sent by email at support@ucancoach.com

UCC cannot be held responsible in case of dispute between the Coach and the Learner. Under no circumstances, will UCC be liable for any delay or cancellation. In this regard, any claim made by a Coach or a Learner against UCC is unfounded.

  1. The UCC Club

UCC Club Members benefit from the UCC’s social and professional network. They may be invited to events organized by UCC (such as cocktail parties, meetings, trips …) with the aim of enabling UCC Club Members to meet, exchange ideas and share experiences.

Coaches who have received excellent or very good ratings from Learners may occasionally, and at the sole discretion of UCC, be rewarded with gifts. UCC fully reserves the right to award gifts or not, according to its own evaluation criteria and at the times it considers appropriate. Gifts received by the Coaches do not constitute compensation in any way whatsoever.

  1. Claims – Unpaid

Any claim regardless of its nature will necessarily be addressed to UCC in the form of an email to support@ucancoach.com. The claim must clearly and thoroughly explain the reasons for dissatisfaction. The UCC Club Member may withdraw her/his claim at any time. Withdrawal is final.

UCC Club Members shall take all necessary measures to permit proper resolution of the claim. They must cooperate with UCC and issue all documents needed to process the claim. They undertake to comply with UCC’s claims processing procedures. In case of non-compliance with these procedures, the claim will not be processed.

In the case of a claim and until the dispute is completely resolved, the accounts of the concerned UCC Club Members may be suspended by UCC. If a UCC Club Member receives many complaints or has a high cancellation rate, UCC reserves the right to delete the account of that UCC Club Member.

  1. Liability

The Website allows the organization and booking of Coaching Sessions. Only UCC Club Members can decide to organize or book a Coaching Session. UCC’s sole role is to facilitate the relationship between Coaches and Learners. Therefore, UCC shall not be considered as the organizer or executer of Coaching Sessions.

The Coach is solely and directly liable for detrimental consequences that may result from the Coaching Session, including but not limited to any physical, mental or emotional injury or discomfort suffered by Learners.

The Coach must take out an insurance policy sufficiently covering his/her civil liability and all types of accidents that may occur in relation to the Coaching Sessions offered.

The Coach is solely responsible for his/her behavior at the chosen location of the Coaching Session. Therefore, he/she shall behave in an appropriate and courteous manner. The Coach will be held liable for any moral or physical injury suffered by the Learner and, any damage he/she causes to the location and the property contained at the location of the Coaching Session.

The Learner is solely responsible for his/her behavior at the chosen location of the Coaching Session. Therefore, he/she shall behave in an appropriate and courteous manner. UCC is simply an intermediary that proceeds with the booking of Coaching Sessions, validates payment and processes financial transactions between Learners and Coaches. UCC cannot be held liable for any damage, including moral or physical injuries sustained by a UCC Club Member. UCC Club Members cannot hold UCC liable for any offensive or defamatory comments posted on the Website about them. UCC cannot be held responsible for any malfunction, failure, delay or interruption of the Internet.

  1. Termination

UCC Club Members can, at any time, decide to end their membership, without justification, and by sending an email to support@ucancoach.com .

In the event that a UCC Club Member should violate the TOS, the Privacy Policy, the Quality Charter or, more generally, any applicable laws or regulations, UCC reserves the right to suspend temporarily or indefinitely the UCC Club Member’s access to the Website without prejudice to any legal action that UCC may take to obtain reparation for any prejudice suffered as a result of the UCC Club Member behavior.

17. Personal data

In the context of your use of the Website, UCC will collect and process some of your personal data. In using the Website and registering as a UCC Club Member, you recognize and accept the processing of your personal data by UCC in compliance with the applicable law and the stipulations of the Privacy Policy.

18. Intellectual property

18.1. Content published by UCanCoach

Subject to the contents provided by UCC Club Members, UCC is the sole holder of all intellectual property rights relating to the Service, the Website, its content (notably texts, images, designs, logos, videos, sounds, data, graphics) and to the software and databases ensuring their operation.

UCC Guests and UCC Club Members are prohibited from any other use or exploitation of the Website, the Service, and their content, without the prior written permission of UCC. Notably, UCC Guests and UCC Club Members are prohibited from:

  • (i) reproducing, modifying, adapting, distributing, publicly representing and disseminating the Website, the Service and the content, with the exception of that expressly authorised by UCC;
  • (ii) decompiling and reverse engineering the Website or the Service;
  • (iii) extracting or attempting to extract (notably using data mining robots or any other similar data collection tool) a substantial part of the data of the Website.

18.2. Content published by UCC Club Members

In order to enable the provision of the Service, and in compliance with the purpose of the Website, UCC Club Members grant UCC a non-exclusive licence to use the content and data provided in the context of your use of the Service (hereinafter referred as “Member Content”). In order to enable UCC to distribute via the digital network and in accordance with any communication protocol (notably internet and mobile network), and to provide the content of the Website to the public, UCC Club Members authorise UCC, for the whole world and throughout the duration of their contractual relations with UCC, to reproduce, represent, adapt and translate Member Content as follows:

  • (i) to reproduce all or part of Member Content on any digital recording media, known or as yet unknown, and notably on any server, hard disk, memory card, or any other equivalent media, in any format and by any process, known or as yet unknown, to the extent necessary to any operation of storage, backup, transmission or download linked to the operation of the Website and the provision of the Service;
  • (ii) to adapt and translate Member Content, and to reproduce these adaptations on any digital media, current or future, stipulated in point (i) above, with the aim of providing the Service, notably in different languages. This right notably includes the option to make modifications to the formatting of Member Content for the purposes of respecting the graphics charter of the Website and/or making it technically compatible with a view to its publication via the Website.

19. Miscellaneous

UCC has the right to modify the TOS, based on the evolution of its service platform and of the market. Any modifications notified to UCC Club Members by UCC shall apply immediately to online offerings. Modifications shall not apply to transactions already in progress at the time of their entry into force.

The invalidity or unenforceability of any provision of this TOS shall not affect the validity or enforceability of any other provision of this TOS.

UCC may occasionally interrupt access to the Website for operational, maintenance or emergency reasons.

Any notification to UCC must be done by email and sent to the following address: support@ucancoach.com.

20. Applicable law – Jurisdiction

Any dispute or litigation with a UCC Club Member related to the interpretation or execution of these TOS will be interpreted according to French law and by courts falling under the sole jurisdiction of the Cour d’Appel – Appeals Court in Paris, France, notwithstanding plurality of defendants or the introduction of third parties. This also concerns emergency procedures, protective procedures, on summary procedure or on application.
